For the opportunity to participate in an Event by Yves Saint Laurent Beauty, and for other good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I, the undersigned, understand that L’Oréal USA, Inc. (“Company”), its agents, and/or representatives will be providing a photo activation/photo booth for use by guests at the Event, as well as taking photographs, videos, and/or otherwise filming or recording the Event, which may include images, photographs, and/or videos of me or in which I may be included.

I hereby grant to Company, its current and future affiliates, related companies, and each of their licensees, successors and assigns, officers, directors, employees, representatives, and agents (collectively with Company, the “Users”) the irrevocable right and permission to: (a) interview, film, photograph (including photos taken of or by me at the photo activation/photo booth), videotape, and otherwise record me and to record my voice, speech, conversations, facial expressions, and sounds in connection with the Event (collectively, the “Recordings”), and (b) use my name, nickname, moniker, sobriquet, initials, signature, social media name, photographs, likenesses, images, speech, voice, facial expressions, interviews and/or videos of me or in which I may be included, biographical information, and statements (collectively, “Likeness and Statements”).

I agree that Users may use, re-use, reproduce, publish, distribute, display publicly, edit, create derivative works from, advertise and commercially exploit worldwide, without restriction, the Recordings and Likeness and Statements, or portions thereof, in perpetuity, in all media now or hereinafter known, for all commercial and non-commercial purposes, including but not limited to the publication, transmission and display on the Internet, including Users’ websites and digital, social (e.g., Instagram, Facebook), and mobile media, indoor and outdoor advertising, educational purposes, press releases, public relations, any other marketing or publicity.

I acknowledge and agree that I do not own any rights, including copyrights, in the aforesaid Recordings, and I hereby waive any right to approve the Recordings, portions of the Recordings, or any derivative works thereof, or the final form and context of the use of the Recordings and Likeness and Statements.

I hereby represent and warrant that I have the right to grant the rights granted herein, and I, on my own behalf, and on behalf of my agents, representatives, heirs, assigns, legatees, executors, and administrators, hereby release and discharge Users from any and all claims and demands whatsoever in connection with the use, re-use, reproduction, publication, distribution, public display, editing, creation of derivative works from, advertisement, and any other commercial exploitation of the aforesaid Recordings and Likeness and Statements in accordance with this release, and I hereby agree to indemnify and hold Users harmless from any and all damages and costs including, but not limited to, legal fees resulting from a violation of any representation and warranty herein.

I acknowledge the contagious nature of Coronavirus/COVID-19 and that public health authorities have recommended abiding by certain precautions. I further acknowledge that Company has put in place preventative measures to reduce the exposure to and the spread of Coronavirus/COVID-19. By executing this release, I agree to abide by the safety rules set to keep the Event and the Event participants safe. Company cannot guarantee that participants and staff members will not become infected with Coronavirus/COVID-19, and I understand that the risk of exposure to or infection from Coronavirus/COVID-19 may occur despite the safety precautions taken at the Event. For these reasons, as a condition of participation in the Event, I hereby release and agree to hold harmless Company and its agents and representatives from, and hereby waive any and all causes of action, claims, damages, costs, and expenses arising from Coronavirus/COVID-19 exposure or infection in connection with my participation in the Event.

This release contains the entire understanding between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or discussions, whether written or oral, between the parties relating to the subject matter hereof. Notwithstanding the place of physical execution, this release shall be governed by and construed in accordance with the laws of the State of New York, applicable to contracts made and performed in such State. I hereby agree to irrevocably submit to the exclusive jurisdiction of any federal or state court located within the Borough of Manhattan of the City, County, and State of New York over any dispute arising out of or relating to this release and that all claims in respect of such dispute or any suit, action, proceeding related thereto may be heard and determined in such courts.
